Emisphere Technologies, Inc. (OTC BB: EMIS) today announced that it has received commitments from two institutional investors to purchase $4 million of securities in a registered direct offering. Emisphere entered into a securities purchase agreement with these investors pursuant to which Emisphere has agreed to sell an aggregate of 5,714,286 shares of its common stock and warrants to purchase up to 2,685,714 additional shares of its common stock. Each unit, consisting of one share of common stock and a warrant to purchase 0.47 of a share of common stock, will be sold for a purchase price of $0.70.

Lake Victoria Mining Company, Inc. (OTCBB: LVCA) - An average gold grade of 3.48 grams per ton was realized from bulk trench sampling at the company’s Kinyambwiga gold project, northern Tanzania. Initial leach assays for 500 gram samples were recently received for quartz vein samples exposed in newly excavated trenches. The new trenches at Kinyambwiga were excavated to expose and extend new portions of coarse gold bearing quartz veins for detailed sampling. Each sample represents a two meter long segment of quartz vein rock exposed in the new trenches.

Seacoast Banking Corporation of Florida (Nasdaq: SBCF) (the “Company”) announced today that it has closed the public offering (the “Underwritten Offering”) of 29,300,000 shares of its common stock at a price to the public of $2.25 per share for total gross proceeds of approximately $66 million. The Company expects to use the net proceeds of the offering for general corporate purposes and to add capital to Seacoast National Bank. Sandler O’Neill & Partners, L.P. acted as the lead book-running manager for the Underwritten Offering, and Fox-Pitt Kelton Cochran Caronia Waller acted as the co-manager.

The Securities Law Firm of Klayman & Toskes (”K&T”), www.nasd-law.com, announced today that it filed a securities arbitration claim against Merrill Lynch (NYSE: MER) on behalf of a couple, seeking damages of $5,000,000 as a result of unsuitable investment recommendations. The investors, residents of the Bahamas, held accounts with Merrill Lynch’s Boca Raton, Florida branch office where they granted their Merrill Lynch financial advisor discretionary authority to manage their accounts. The suit was filed with the Financial Industry Regulatory Authority’s (FINRA) Department of Arbitration.

Ares Capital Corporation (NASDAQ: ARCC) announced today that it has closed an underwritten public offering of 12,439,908 shares of the Company’s common stock (including 1,439,908 shares pursuant to the exercise by the underwriters of their overallotment option) at a price per share of $9.25 to the public, raising approximately $109.6 million in net proceeds after deducting underwriting discount and commissions and estimated offering expenses. No additional shares will be available for purchase by the underwriters pursuant to the overallotment option.
